BREEDING CONTRACT

Subject to the following terms and conditions, I the undersigned,

to the Swedish Warmblood Stallion EROS TP CRB 9058 during the 2005 breeding season.
In consideration for this breeding, MARE OWNER agrees to pay a breeding fee of $ 1250.00 The terms are: a non-refundable booking fee of $400.00 on reservation, and the balance of $850.00, before the semen is shipped, or the mare leaves the breeding farm. A shipping deposit of $100.00 is required for those mares requiring shipped semen. Shipping containers are charged at $55.00 per container. Containers returned in good condition will receive a $20 refund per container. MARE OWNER understands that s/he must return a signed copy of this contract, copies of the mare's identification documents, plus the booking fee and applicable shipping deposit fees, and that the contract must be signed and accepted by STALLION AGENT to initiate this contract.

MARE OWNER also understands that to retain rebreeding rights under the "live foal guarantee", s/he must return the completed and signed Veterinary Certificates of Pregnancy Examination later this season.

1) STALLION AGENT agrees that if the full stud fee is paid, and should said mare subsequently, as a result of this breeding, not have a live foal, or foals, that can stand and nurse, the stud fee will be carried forward to the next breeding season (2006). The stud fee shall only be carried forward one season, however; thereinafter this contract shall be deemed fulfilled even if said mare still fails to conceive or deliver a live foal or foals the subsequent season. Should the usual stud fee charged by STALLION AGENT change between the first and second year of the contract, MARE OWNER shall not be responsible for the difference. Once a live foal or foals has been delivered by said mare, and said foal(s) can stand and nurse unassisted, this contract has been fulfilled by STALLION AGENT.

2) The stud fee includes the provision for one collection of semen. Subsequent collections are charged at $100.00 per collection. Shipped semen is to be used on the mare specified by this contract. Any other use constitutes an illegal act.

2A) Mares that are inseminated at Jadar Farms will be charged a board fee of $10/ day , $12/day if accompanied by a foal. A reproductive management fee for each mare will be charged at $150.00 per cycle.

3) Limitation: If the mare is not pregnant after 3 cycles, she is not likely to conceive in the current season. Exceptions to this limitation may be granted if discussions with the inseminating vet persuade us that the chances of conception have improved.

4) The stud fee will be carried forward, and the live-foal guarantee is valid, only if MARE OWNER has properly maintained the health of the mare, and verifies the mare's pregnancy loss, stillbirth, or newborn foal death by providing STALLION AGENT with a signed and dated veterinary certificate, on the veterinarian's own practice stationery, which clearly states the following:
a) Identification of the mare named herein;
b) Verification of the loss of pregnancy or stillbirth;
c) Verification that, in the veterinarian's best judgement, the mare was maintained in a reasonable state of health, including all vaccinations and deworming as recommended by the veterinarian, including but not limited to vaccination on an appropriate schedule against Rhinopneumonitis.
STALLION AGENT must receive this certificate within thirty (30) days of the discovery of mare's pregnancy loss, stillbirth, or newborn foal death, and in any case prior to further breeding of said mare or semen shipments to said mare.

5) In any of the above situations, MARE OWNER may, at STALLION AGENT'S sole discretion, substitute another mare for the above-named mare to complete the two-season limit on the live-foal guarantee.

6) The identity of the mare being bred under this contract must be substantiated by submitting copies of her registration papers, pedigree and photographs. If the mare is leased, a copy of the lease agreement is required. If embryo transfer is done, the identity of the surrogate mare must also be substantiated and, if she is leased, a copy of the lease agreement is required.

7) This contract cannot be assigned or transferred; in the event the pregnant mare is sold, the live foal guarantee is null and void.

8) MARE OWNER hereby understands that at least 24 hours advance notice must be provided to the stallion owner for semen shipment, and that additional time will be required for the shipment to travel to its destination. There will be times when the stallion may not be available for collection. It may be necessary to artificially cycle the mare for correct timing in these instances.

9) It is hereby understood and agreed that shipped semen shall be shipped to a local AI Centre or veterinarian, designated herein by MARE OWNER: (name/address/phone day & night):

10) MARE OWNER is responsible for having his/her own veterinarian perform a breeding soundness exam on said mare, and for filing the results with STALLION AGENT. STALLION AGENT reserves the right to cancel this contract, with full refund to MARE OWNER, if the said mare is not deemed a suitable prospect for breeding.

11) MARE OWNER is solely responsible for a 50 to 70 day pregnancy examination and the forwarding of these results to STALLION AGENT.

12) In no case shall semen be shipped or said mare bred prior to acceptance of a properly signed and completed contract by STALLION AGENT, including the payment by MARE OWNER of the required breeding fees and shipping deposit. It is MARE OWNER'S sole responsibility for the timely delivery of all documents relevant to this contract to STALLION AGENT, and STALLION AGENT cannot be held responsible for any failure of delivery, for whatever reason. Likewise, STALLION AGENT cannot be held responsible for any delays or failures in shipping that are out of her control.

13) All inseminations must be performed by a licensed veterinarian or equine reproduction technician experienced in equine artificial inseminations.

14) MARE OWNER understands that the named stallion is registered and approved for breeding with SWANA ( Swedish Warmblood Association of North America) & CWHBA (Canadian Warmblood Horse Breeders Association).

15) This shall be a binding contract when signed and accepted by STALLION AGENT. Shall any legal action be required to enforce the terms of this contract, the prevailing party shall be entitled to all reasonable attorney's fees, court costs, and expenses, as may be awarded by the court.

I, the undersigned, hereby certify that I am the MARE OWNER named herein, or a duly authorized agent thereof, and as such have the authority to enter into this contract, as witnessed by my signature. I also certify that I have read and understand the terms of this contract and the fees associated with it. I am hereby requesting breeding of the mare named herein, subject to the possible substitution mentioned above, to the stallion EROS TP CRB 9058.
